Terms of Sale

These Terms of Sale (the « Sales Terms ») govern the sale of digital services offered on Swappr (the « Service »), published under the trade name Swappr (the « Publisher »). They complement the Terms of Use. By placing an order, the customer (the « Customer ») accepts the Sales Terms in force on the order date.

1. Scope

These Sales Terms apply to any order for a subscription, NSFW add-on, credit top-up or any other digital product sold on the Service. Service usage rules are in the Terms of Use.

The Publisher markets the Service under the Swappr brand. Full registration details will be published on the Service when legally required.

2. Products and services

2.1 Subscriptions

Prepaying 2 to 12 months may grant a one-time +10 % bonus on base plan credits for the period, in addition to monthly bonus credits.

2.2 NSFW add-on

On Starter (+15 USDC/month) and Essential (+10 USDC/month), the NSFW add-on unlocks adult content mode, subject to legal consent signed in the Service.

2.3 Top-ups

Top-ups increase the credit balance but do not activate or extend a subscription.

2.4 Nature of the service

Swappr provides access to a SaaS platform and consumption credits for AI generations. Credits are an internal accounting unit; they have no monetary value outside the Service and are not transferable between accounts.

3. Pricing

Prices are displayed in USDC / USD equivalent on the Service. When paying by card via Shopify, the amount may be charged in euros (EUR) depending on the store and exchange rate applied by the payment provider. Prices include applicable taxes when the Shopify store is configured tax-inclusive; the Customer sees the final amount before confirming payment.

4. Order and payment

4.1 Card / Apple Pay (Shopify)

Primary method: redirect to Shopify checkout. The contract is formed when Shopify confirms payment. The Publisher does not store card data; processing is performed by Shopify and its PCI-DSS certified payment providers.

4.2 On-chain crypto

Complementary method: sending USDC or USDT on Ethereum or Solana networks to the indicated address. Credits and subscription are activated after on-chain transaction detection (variable delay). MoonPay may be offered as an auxiliary on-ramp.

4.3 No automatic renewal

Unless explicitly stated otherwise on a third-party channel, subscriptions do not auto-renew. The Customer must make a new payment when the subscribed period expires.

5. Performance — service access

Service access and credit grants occur immediately after payment confirmation (Shopify) or on-chain validation (crypto). The Customer acknowledges that digital content is provided without physical support and performance begins upon activation.

6. Right of withdrawal

Under EU consumer law, consumers have 14 days to withdraw from the contract from the date of conclusion, without giving reasons.

However, for digital content not supplied on a tangible medium where performance has begun with the consumer's prior express agreement and after express waiver of the right of withdrawal, withdrawal can no longer be exercised once performance has started. By confirming payment and immediately accessing credits and the Service, the Customer expressly agrees that performance begins without delay and acknowledges losing the right of withdrawal for the portion already performed, within legal limits.

7. Refunds

7.1 Failed generations

Generations that fail due to AI engine errors are refunded in credits to the Customer account per current product rules.

7.2 Crypto payments

Confirmed blockchain payments are not refundable in fiat or crypto, unless mandatory law requires otherwise or a manifest attribution error attributable to the Publisher occurs.

7.3 Card payments

Card refund requests are reviewed case by case via [email protected], subject to legal obligations (including non-conformity of the digital service). Approved refunds are processed via Shopify to the original payment method.

8. Legal warranties

Consumers benefit from legal conformity and hidden defect warranties under applicable French and EU law. To report an issue: [email protected].

9. Consumer mediation

Under French consumer law, the Publisher will join a consumer mediation scheme before marketing to consumers residing in France. Mediator contact details will be published on the Service at that time. Until then, any complaint may be sent to [email protected].

10. Complaints

Commercial complaints: [email protected]. The Publisher aims to respond within 30 business days.

11. Personal data

Processing of order-related data is described in the Privacy Policy.

12. Governing law and disputes

These Sales Terms are governed by French law. In case of dispute, consumers may bring proceedings before the courts of their domicile or those of the Publisher, under mandatory rules.

13. Changes to Sales Terms

The Publisher may modify these Sales Terms. The applicable version is the one in force on the order date, unless a later legally required change applies to ongoing contracts.
