Terms and Conditions of Use

These Terms and Conditions of Use (the « Terms ») govern access to and use of the Swappr platform (the « Service »), published under the trade name Swappr (the « Publisher »). Sales terms (subscriptions, top-ups, payments) are set out in the Terms of Sale. By creating an account or using the Service, you fully accept these Terms.

1. Purpose

These Terms define rules for using the Service. They complement the Privacy Policy and Cookie Information.

2. Description of the Service

Swappr is a SaaS studio for AI content creation. The Service includes in particular:

• AI Studio — image, video and audio generation (TTS, dialogue, SFX, voice clones) via third-party engines
• Workshop — HD Face Swap, Outfit Swap, Camera Roll, Nude Factory (NSFW), Motion Video, Avatar Talk, 5-step Capture pipeline
• Avatar Lab — persistent virtual identities
• E-Commerce branch — Product Studio, UGC video, Ad Factory, virtual try-on, brand kit
• Audio Studio — ElevenLabs voice synthesis
• Social Manager — Instagram publishing via the official Meta API
• Assistants — Swappr Help (free) and AI Assistant (safe and, where applicable, NSFW models)
• Local file preparation — browser-side processing (metadata, perceptual fingerprints)
• Library — storage and management of your creations and identity models
• Public API — programmatic access (subject to subscription and API keys)
• Affiliate program — referrals and commissions (subject to dedicated conditions)

3. Registration and account

3.1 Account creation

Registration is via email or Google account (Clerk authentication). Anti-bot verification (Cloudflare Turnstile) may be required. You must provide accurate, up-to-date information. You are solely responsible for keeping your credentials confidential.

3.2 Trial credits

Up to 150 free credits may be granted in three tiers: 50 on signup (after email confirmation), 50 after your first successful generation, and 50 at day +24 h. Anti-fraud checks (IP, device fingerprint) may delay or split these grants. During the active trial window, functional access may align with the Studio plan. Once trial credits are exhausted, an active subscription is required to keep generating paid content. Top-ups alone do not replace a subscription.

3.3 Minimum age

You must be at least 18 years old to use the Service. Enabling NSFW mode requires explicit consent confirming your legal age and other legal commitments (see § 5.3).

4. Subscriptions and payment

Detailed commercial terms (pricing, withdrawal, card refunds) are defined in the Terms of Sale. Summary of usage rules:

4.1 Plans

The Service offers four monthly plans: Starter (10 USDC/month), Essential (25 USDC/month), Pro (49 USDC/month) and Studio (100 USDC/month). Each plan includes a monthly credit allowance and specific features. NSFW mode is included on Pro and Studio; on Starter and Essential, an NSFW add-on is available (+15 or +10 USDC/month depending on plan). Prepaying 2 to 12 months may grant a one-time base-credit bonus (+10 % on the period).

4.2 Payment

The primary payment method is credit card or Apple Pay via our provider Shopify (Account & credits page). A complementary USDC or USDT on-chain option (Ethereum or Solana networks) is available. MoonPay may be offered as an auxiliary crypto on-ramp in the crypto flow. No identity verification (KYC) is required by the Publisher for Service access.

4.3 No auto-renewal

Subscriptions do not auto-renew (unless explicitly stated otherwise on a third-party payment channel). When your paid period ends, you must make a new payment to extend access. Unused credits remain on your balance but become unusable without an active subscription (except trial credits).

4.4 Top-ups

Additional credit packs are available (15 to 100 USDC). Top-ups increase your balance but do not activate or extend a subscription.

4.5 Refunds

Failed generations due to AI engine errors are refunded in credits per product rules. Confirmed blockchain payments are not refundable in fiat currency. Card payments are handled per the Terms of Sale.

5. Use of the Service

5.1 Permitted uses

You may use the Service to:

• Create AI content for personal, commercial or editorial purposes
• Apply your own visual identity to generated images
• Publish your creations on social networks via the integrated Social Manager
• Use file preparation tools to optimize your content
• Automate workflows via the public API within your subscription limits

5.2 Prohibited uses

It is strictly forbidden to:

• Generate content involving minors in any form
• Create content depicting real people without their explicit consent
• Produce hateful, discriminatory, violent or illegal content
• Use the Service for harassment, identity theft or fraud
• Attempt to bypass security, quota or billing systems
• Resell or sublicense access without written authorization
• Use the Service to generate content that violates applicable laws in your jurisdiction
• Publish synthetic or manipulated content without complying with applicable transparency obligations (including AI labeling when required)

5.3 NSFW content

NSFW mode is reserved for adult users with active NSFW entitlement (Pro/Studio or NSFW add-on on Starter/Essential). Activation requires legally binding consent confirming 8 conditions, including age, rights ownership, no content involving minors, and private use. Consent is versioned and stored in the database (date, version, user ID, IP address).

The Publisher may disable NSFW mode and suspend any account in case of violation.

6. Intellectual property

6.1 Generated content

Content generated via the Service (images, videos, text, audio) is produced by third-party AI engines. You retain usage rights on content you generate, within the limits of underlying engine terms (OpenAI, Google, ByteDance, xAI, Alibaba, Wan, Kling, ElevenLabs, etc.). The Publisher does not guarantee absence of third-party claims on AI outputs.

6.2 Imported content

You warrant that you hold rights to all content you import (portraits, reference images, videos, voices). The Publisher assumes no liability for third-party rights violations.

6.3 Platform

The Service, its source code, interface, trademarks and editorial content are the exclusive property of the Publisher. Unauthorized reproduction, modification or distribution is prohibited.

7. Public API

Public API access requires an active subscription, an API key and compliance with documented rate limits. The same content prohibitions (§ 5.2) and NSFW rules apply. The Publisher may modify, limit or remove endpoints with reasonable notice when possible.

8. File preparation

The local file preparation module runs entirely in your browser (no files are sent to Publisher servers during this processing). Processing includes metadata editing, perceptual fingerprint adjustment and technical marker cleanup.

The Publisher provides these tools as utilities and does not guarantee specific outcomes regarding how third-party platforms handle prepared files. You remain solely responsible for complying with platform terms where you publish.

9. Instagram publishing

Social Manager uses Meta's official Graph API to publish on Instagram. Connection is via OAuth (Instagram Login). The Publisher does not store your Instagram credentials in plain text. Access tokens are valid 60 days and renew automatically.

Your Instagram account must be Business or Creator mode. The Publisher does not guarantee continuous Meta API availability and is not liable for Meta actions on your Instagram account.

10. Availability and support

The Publisher strives to keep the Service available 24/7 without obligation of result. Maintenance, updates or technical issues may cause interruptions. Support is provided via the integrated help center and by email at [email protected].

11. Limitation of liability

The Service is provided « as is ». The Publisher does not guarantee generated content will be error-free, unbiased or of a specific quality. The Publisher is not liable for direct or indirect damages from use of the Service, including data loss, third-party account suspension or consequences of publishing generated content, to the extent permitted by applicable law.

12. Suspension and termination

The Publisher may suspend or terminate any account for Terms violations, abusive use, fraud signals or behavior harming other users or Service integrity. No refund is granted for termination due to violation unless required by mandatory law.

13. Changes to Terms

The Publisher may modify these Terms. Changes take effect upon publication on the Service with an update date. Continued use after changes constitutes acceptance, subject to mandatory consumer protection provisions.

14. Governing law

These Terms are governed by French law. Any dispute shall be submitted to the competent courts under ordinary rules, without prejudice to protective provisions for consumers residing in the European Union.
